Notice Regarding Completion of Acquisition of Shares (Subsidiary Company) of Coleman Research Group, Inc. – Becoming a knowledge platform with 400,000 experts and 7 locations worldwide

VisasQ Inc. (“VQ,” Meguro-ku, Tokyo; CEO Eiko Hashiba) hereby announces that VQ has acquired 100% of the issued shares as of November 1, 2021 of Coleman Research Group, Inc. (“Coleman,” New York, US; CEO Kevin Coleman), a US-based Expert Network Service firm (“ENS”, a service that fulfills clients’ needs for insights and advice with expert interviews) expanding globally, and to position Coleman as a subsidiary (the “acquisition”).

VQ operates a knowledge platform with our mission of “Connecting Insights and Aspirations Across the Globe”. We aim to become the No1 knowledge platform by accumulating a database of domestic and international experts with their insight information and connecting them with client’s needs to help solve a range of challenges such as new business development and business growth.

As an important first step to achieve this goal, VQ announced to acquire Coleman, a leading ENS firm in the United States, on August 18, 2021, and today completed the acquisition of Coleman’s shares.

Providing services utilizing our integrated databases

An integrated platform of VQ and Coleman will have more than 400,000 experts, 7 locations worldwide (3 in the US, 1 in Europe, and 3 in Asia), and over 350 committed employees.

With over 400,000 experts on the integrated platform, the majority of experts will be from outside of Japan, giving clients unparalleled access to insights globally.

VQ and Coleman will provide the following services by utilizing the expert databases mutually.The main services are as the following:

Expert Interview : A service to interview experienced industry/sector experts for 1-hour online or by phone. Interviews can be set with the most suitable experts from a database of over 400,000 experts in Japan and abroad, including Coleman’s database. Interpreters can be arranged.

Expert Survey : A web-based survey that specializes in BtoB areas that are difficult to approach. Primary information can be collected through questionnaires from a wide range of panels, including Coleman’s expert database, enabling VQ to conduct customer and industry trend research globally.

Research : A service that a research professional conducts the entire process on behalf of clients from research design and interview conduction to report completion. The service covers Coleman’s database, enabling overseas market research quickly.

VQ and Coleman’s leadership commitment by mutually becoming directors

At the extraordinary general meeting of shareholders of VQ held on October 20, it was resolved that Mr. Kevin Coleman, CEO of Coleman, will become the director of VQ effective today. At the same time, Eiko Hashiba, CEO of VQ, and Hidetoshi Uriu, COO of VQ, are planned to be appointed to the Board of Directors of Coleman. COO Uriu will be stationed in the United States and work closely with Coleman’s members to realize integration.

Background
Kevin C. Coleman is a graduate of the University of Colorado at Boulder, and holds an MBA from Babson College – Franklin W. Olin Graduate School of Business.. He joined Dean Witter Reynolds, Inc. (now Morgan Stanley) in 1991, and Multex, a global financial information provider, in 1996 and served as Vice President of Sales. Kevin founded Coleman in 2003, and will serve as CEO of Coleman and as a member of the board of directors of VQ starting November 1, 2021.
